The Work shall be completed according to our instructions.
We will provide you with access to any Pre-existing Materials necessary to perform your Work.
## Ownership
### Pre-existing Materials
You acknowledge that we own all rights, title and interest in and to our Pre-existing Materials ("Our Pre-existing Materials"). You agree that we shall retain ownership of Our Pre-existing Materials even if you use them in performing your Work under this Agreement.
### New Materials
You agree that you own all rights, title and interest in and to your New Materials ("Your New Materials").
### Combined Materials
If Your New Materials are based on Our Pre-existing Materials ("Combined Materials"), then:
1. We retain ownership of Our Pre-existing Materials;
2. You retain ownership of Your New Materials;
3. We grant You a perpetual royalty-free license under copyright law (including moral rights) applicable anywhere in the world to use Your New Material; and
4. You grant Us a perpetual royalty-free license under copyright law (including moral rights) applicable anywhere in the world to use Our Pre-existing Material.
## Confidentiality
You agree that anything you learn about Us or our business during your Performance shall remain confidential.
## Indemnification
You agree not to hold Us liable for anything arising from your Performance under this Agreement unless We are grossly negligent or intentionally injurious.
## Warranties
You warrant that:
1. You have not entered into any other agreement with anyone else relating to this same Work;
2. Your New Material does not infringe upon any third-party rights; and
3. Your New Material is not illegal or otherwise objectionable.
## Term & Termination
This Agreement shall commence on [DATE] and continue until terminated by either party giving thirty (30) days prior written notice thereof.
Either party may terminate this Agreement immediately upon written notice if:
1. The other party breaches any material term or condition of this Agreement; or
2. The other party becomes insolvent or files bankruptcy.
## No Partnership
Nothing contained herein shall constitute or create a partnership or joint venture between us nor confer upon either party any interest in any property owned by the other party except as expressly provided herein.
## Entire Agreement
This document contains all terms agreed upon by both parties concerning this matter; no other terms exist except as expressly stated herein.
Nothing herein shall affect either party’s statutory rights.
## Governing Law
